1/6 · Marketing Services AgreementAcuerdo de Servicios de Mercadeo · v1.2
MARKETING SERVICES AGREEMENT This Marketing Services Agreement (this "Agreement") is entered into as of the date of last signature below (the "Effective Date") by and between ONE HEALTH GROUP, INC., a Florida corporation doing business as LuzardoCare ("Company"), and the entity identified on the signature page ("Agency"). 1. PURPOSE AND SCOPE 1.1 Agency will provide marketing and outreach services to promote Company's direct health care membership program (the "Program") in accordance with written scopes of work agreed in advance by the parties (each, a "Scope of Work"). 1.2 Agency's services are limited to marketing, community outreach, content production, event staffing, and administrative assistance with enrollment. Agency will not provide, and will not hold itself out as providing, medical advice, clinical services, diagnosis, treatment, or insurance. 1.3 Agency has no authority to bind Company, to modify the terms of any membership agreement, to quote prices other than Company's published prices, or to make any representation on Company's behalf that is not contained in materials Company has approved in writing. 2. INDEPENDENT CONTRACTOR 2.1 Agency is an independent contractor. Nothing in this Agreement creates an employment, partnership, joint venture, or franchise relationship. 2.2 Agency is solely responsible for its own personnel, including their engagement, supervision, compensation, benefits, withholding, and all federal, state and local taxes and filings relating to them. Company will not withhold or remit taxes on behalf of Agency's personnel. 2.3 Agency will maintain all licenses and registrations required for it to do business. 3. COMPENSATION 3.1 Company will pay Agency the fixed fees or hourly rates set out in the applicable Scope of Work, for marketing work actually performed, documented and approved by Company. 3.2 Compensation under this Agreement is not, and will never be, calculated by reference to the number or value of patients, members, enrollments, referrals, or revenue generated. No portion of any fee is contingent on any person becoming, remaining, or paying as a member. 3.3 Rates are agreed in advance of the work period. Work performed outside an approved Scope of Work is not payable. 3.4 Company will pay approved amounts on or about the fifteenth (15th) day of the month following the month in which the work was completed and approved. 3.5 Payment for services performed under an Agency Scope of Work will be made to Agency. Agency is solely responsible for compensating its personnel for services performed under an Agency Scope of Work, and Company has no payment obligation to any individual for those services. Company may separately engage and compensate an individual affiliated with Agency under a separate written Marketing Representative Services Agreement and separate Scope of Work approved before the work begins. If Agency is then deploying that individual in connection with the Program, Agency's written acknowledgment of the separate direct engagement is required. No service, activity, or expense may be billed or paid under both engagements. 3.6 Agency will furnish a completed IRS Form W-9 before the first payment. Company will report payments to Agency on IRS Form 1099-NEC where required. 3.7 Agency will be reimbursed for pre-approved out-of-pocket expenses upon presentation of receipts. 3.8 Company is not obligated to offer Agency any minimum amount of work, and Agency is not obligated to accept any Scope of Work offered. 3.9 No Duplicate Compensation; Separation of Engagements. No service, hour, event, campaign, deliverable, reimbursable expense, or other activity may be invoiced, approved, or paid under more than one agreement or Scope of Work. Services performed pursuant to an Agency Scope of Work are Agency services and are compensable only under this Agreement, unless, before the work is performed, Company, Agency, and the individual approve in writing a separate direct Scope of Work identifying the distinct services to be performed and paid directly to that individual. Agency will promptly disclose any actual or potential overlap. No compensation under either arrangement will be determined by referrals, enrollments, membership volume, or revenue generated. 4. ANTI-BROKERING AND COMPLIANCE 4.1 Agency acknowledges that Florida law prohibits paying or receiving any commission, bonus, kickback, rebate, or split-fee, directly or indirectly, in cash or in kind, as an inducement to refer patients or patronage to a health care provider, and that such conduct carries criminal penalties, including felony penalties that increase with the number of patients involved. Agency acknowledges the following statutes in particular: Fla. Stat. 817.505 (patient brokering), 456.054 (kickbacks), and 458.331(1)(i). 4.2 Agency will not pay, offer, solicit or accept any compensation that is calculated by reference to the number or value of patients or members, whether from Company, from its own personnel, or from any third party, in connection with the Program. 4.3 Agency will not compensate any of its personnel on a per-patient, per-member, per-enrollment, percentage-of-membership, or similar basis in connection with the Program, and will notify Company promptly if it becomes aware of any such arrangement. 4.4 Agency acknowledges that Fla. Stat. 624.27 permits a health care provider or its agent to market, sell, or offer a direct health care agreement without a license under the Florida Insurance Code, and that this provision removes a licensing requirement only. It does not authorize compensation based on patient referrals. 4.5 Before performing any services, each individual Agency deploys in connection with the Program will sign Company's individual Compensation and Anti-Brokering Acknowledgment and the Confidentiality and Information Security Agreement. Agency will not deploy anyone who has not signed both. 5. MARKETING CONDUCT 5.1 Agency will use only materials Company has approved in writing, and will not alter them. 5.2 Agency will not state or imply that the Program is health insurance, that it replaces or substitutes for health insurance or any government program, that it covers hospital care, emergency care, specialists, or medications, or that any person should cancel existing coverage. 5.3 Agency will use all disclosures and disclaimers included in Company's approved marketing materials and will not remove, alter, or obscure them. 5.4 Agency will make no clinical promise, guarantee of outcome, or representation about a particular provider's availability. 5.5 Agency will comply with applicable advertising, telemarketing, text-messaging and email laws, and will obtain consent to contact where required. Agency and its personnel will not place telephone calls or send text messages to prospective members except through a calling or messaging program Company has approved in writing in advance. 5.6 Agency will not enroll, or assist in enrolling, any person under eighteen (18) years of age. 5.7 Agency is not acting as an insurance agency, insurance agent, insurance broker, insurance producer, or insurance advisor in connection with the Program and will not state or imply otherwise. Agency will not use, and will not permit any of its personnel to use, the title "insurance agent," "licensed agent," "broker," "producer," "insurance advisor," or any similar title in connection with the Program, and will not display, rely upon, or refer to any insurance license, appointment, carrier affiliation, or insurance credential in connection with the Program. Agency will not state or imply that the Program is insurance or is offered, sponsored, or underwritten by an insurer. If Agency or any of its personnel holds an insurance license, that license may continue to be used by its holder in other business, but not in connection with the Program. 6. CONFIDENTIALITY AND INFORMATION SECURITY 6.1 Agency will treat as confidential all non-public information of Company. 6.2 Company does not disclose protected health information to Agency under this Agreement. Agency will receive only aggregate reporting on the results of its own marketing work that does not contain individually identifiable health information -- for example, campaign, reporting period, and aggregate counts. Agency will not receive names, contact details, addresses, enrollment dates, or membership or payment status of any individual, and reports will not permit drill-down to individual members. 6.3 Agency will not contact members regarding their membership status, payment status, or clinical care. Agency may market to prospective members through campaigns Company has approved; once a person is a member, contact comes from Company. 6.4 Agency will not receive clinical records, diagnoses, laboratory results, medications, or visit information. 6.5 If Company ever determines that Agency requires protected health information to perform services, the parties will first execute a Business Associate Agreement meeting the requirements of 45 C.F.R. 164.504(e). No individually identifiable member information will be disclosed before the required Business Associate Agreement is in effect and all other applicable access conditions have been met. 7. TERM AND TERMINATION 7.1 This Agreement begins on the Effective Date and continues until terminated. 7.2 Either party may terminate for convenience on thirty (30) days' written notice. 7.3 Company may terminate immediately for breach of Section 4, Section 5, or Section 6. 7.4 On termination, Agency will cease all use of Company's name and materials, and return or destroy Company materials, and confirm in writing that it has done so. 7.5 Company will pay amounts properly earned for services performed under an approved Scope of Work through the termination date, subject to the Agreement's normal documentation and approval requirements. Termination does not limit either party's rights or remedies for breach. 7.6 Sections 3.9, 4, 6, 8, 10 and 12, and any payment obligations accrued before termination, survive termination. 8. INDEMNIFICATION Agency will indemnify and hold Company harmless from claims, losses and expenses arising out of Agency's breach of this Agreement, the conduct of Agency's personnel, or any misrepresentation made by Agency in connection with the Program. 9. INSURANCE 9.1 Commercial general liability (CGL) insurance and certificates of insurance are not required under this Agreement. 9.2 This Agreement does not require cyber and privacy liability insurance during its term or after termination, including as a condition of authorized access to protected health information. 9.3 This Section does not override independent insurance requirements imposed by applicable law or third-party venues. Neither party may accept such requirements on the other party's behalf without that party's written authorization. 10. WORK PRODUCT AND INTELLECTUAL PROPERTY 10.1 All content, copy, photographs, video, designs, and other materials created by Agency or its personnel specifically for Company and paid for by Company under a Scope of Work (the "Work Product") are works made for hire to the extent permitted by law, and Agency assigns to Company all right, title and interest in the Work Product, including all copyrights. 10.2 Agency retains ownership of materials, tools, and templates Agency owned before this Agreement or developed independently of it ("Background Materials"). If Background Materials are incorporated into Work Product, Agency grants Company a perpetual, worldwide, royalty-free, transferable license to use, reproduce, modify and distribute them as part of that Work Product. 10.3 Agency will secure, in writing, the rights necessary for Company to use the name, image, likeness, or voice of any person appearing in Work Product, and will furnish those releases to Company on request. 10.4 Agency will ensure that each of its personnel who contributes to Work Product has assigned or licensed to Agency the rights necessary for Agency to make the assignment in Section 10.1. 10.5 Company's name, marks, logos and approved materials remain Company's property. Agency's license to use them ends on termination. 11. THIRD-PARTY OBLIGATIONS AND CONFLICTS 11.1 Agency represents that entering into and performing this Agreement does not violate any agreement or obligation owed to any third party and will promptly disclose any actual or potential conflict that could affect its performance under this Agreement. 11.2 Agency may provide services to other businesses, including competitors, provided Agency does not use or disclose Company's confidential information, Company-funded leads, marks, materials, or campaign assets for another party, and does not represent a competing direct health care program during the same Company-approved event or campaign. 12. GENERAL 12.1 Florida law governs. Venue is Miami-Dade County. 12.2 Agency may not assign this Agreement without Company's written consent. 12.3 This Agreement, together with each Scope of Work and the acknowledgments referenced in Section 4.5, is the entire agreement between the parties on this subject. 12.4 Amendments must be in writing and signed by both parties. 12.5 If any provision is held unenforceable, the rest remains in effect.

Every individual the Agency deploys in connection with LuzardoCare will sign their own individual Compensation and Anti-Brokering Acknowledgment and Confidentiality and Information Security Agreement before performing any work. The Agency's signature here does not substitute for theirs. 7. The Agency will notify LuzardoCare promptly if it learns of any arrangement inconsistent with this acknowledgment. 8. 5/6 · Business Associate AgreementBusiness Associate Agreement (acuerdo de socio comercial) · v1.1
BUSINESS ASSOCIATE AGREEMENT Effective Date: ____________ Between One Health Group, Inc. d/b/a LuzardoCare, a Florida corporation ("Covered Entity"), and ____________________ ("Business Associate"). Purpose. Covered Entity operates a direct health care membership program. Business Associate performs marketing and administrative services for Covered Entity and, where a member has authorized it in writing, assists that member with their membership and payments. Performing that assistance requires Business Associate to receive Protected Health Information. This Agreement sets the terms required by 45 C.F.R. §164.504(e). 1. DEFINITIONS Terms used but not defined here have the meaning given to them in 45 C.F.R. Parts 160 and 164. "PHI" means Protected Health Information that Business Associate creates, receives, maintains or transmits on behalf of Covered Entity. "Services Agreement" means the Marketing Services Agreement or Marketing Representative Services Agreement between the parties, as amended. "PHI Access Addendum" means LuzardoCare's PHI Access Addendum — Marketing Representative signed by an individual representative who is permitted to access PHI. 2. PERMITTED USES AND DISCLOSURES 2.1 Business Associate may use and disclose PHI only to perform the services authorized by the Services Agreement, this Agreement and the applicable member authorization, and only as this Agreement permits. 2.2 Access under this Agreement is limited to the following administrative information: - the member's name, Member ID, telephone number and email address; - membership status and start date; - whether the membership payment is current, late or failed, and the paid-through date; - the plan and its price. Business Associate has no right to any other PHI and specifically has no right to clinical information. 2.3 Business Associate may access a member's PHI only while: (a) a valid written authorization signed by that member naming the individual representative and, where applicable, Business Associate remains in effect; (b) that representative remains assigned and authorized to assist that member; and (c) all applicable conditions in the Services Agreement, PHI Access Addendum and this Agreement remain satisfied. 2.4 Business Associate will limit its uses, disclosures and requests for PHI to the minimum necessary to accomplish the authorized purpose. Business Associate may use PHI only to assist the authorized member with membership and payment and as necessary to comply with this Agreement or applicable law. 3. PROHIBITED USES AND DISCLOSURES Business Associate will not: 3.1 use or disclose PHI in a manner that would violate Subpart E of 45 C.F.R. Part 164 if done by Covered Entity; 3.2 use or disclose PHI for marketing, for its own business development, for any other client, or for any purpose other than assisting the authorized member with membership and payment; 3.3 sell PHI or receive remuneration in exchange for PHI; 3.4 de-identify, aggregate, re-identify or create derivative data sets from PHI except where Covered Entity directs it in writing and applicable law permits it; 3.5 access, search for or attempt to access information about any member other than a member for whom Covered Entity's system shows an active authorization and assignment; or 3.6 store, process or transmit PHI outside the United States, or permit any subcontractor to do so. 4. OBLIGATIONS OF BUSINESS ASSOCIATE Business Associate will: 4.1 not use or further disclose PHI other than as permitted or required by this Agreement or as required by law; 4.2 use appropriate safeguards, and comply with Subpart C of 45 C.F.R. Part 164 with respect to electronic PHI, to prevent use or disclosure of PHI other than as provided by this Agreement; 4.3 report to Covered Entity any use or disclosure of PHI not provided for by this Agreement of which it becomes aware, including breaches of unsecured PHI as required by 45 C.F.R. §164.410 and any Security Incident of which it becomes aware; 4.4 in accordance with 45 C.F.R. §164.502(e)(1)(ii) and §164.308(b)(2), ensure that any subcontractor that creates, receives, maintains or transmits PHI on behalf of Business Associate agrees in writing to the same restrictions, conditions and requirements that apply to Business Associate under this Agreement; 4.5 make PHI in a Designated Record Set available to Covered Entity as necessary to satisfy Covered Entity's obligations under 45 C.F.R. §164.524; 4.6 make PHI in a Designated Record Set available for amendment, and incorporate any amendment, as necessary to satisfy Covered Entity's obligations under 45 C.F.R. §164.526; 4.7 maintain and make available information necessary for Covered Entity to satisfy its obligations regarding an accounting of disclosures under 45 C.F.R. §164.528; 4.8 to the extent Business Associate carries out an obligation of Covered Entity under Subpart E, comply with the requirements of Subpart E that apply to Covered Entity in performing that obligation; 4.9 make its internal practices, books and records relating to the use and disclosure of PHI available to the Secretary of the U.S. Department of Health and Human Services for purposes of determining compliance with the HIPAA Rules; and 4.10 document disclosures of PHI and information related to those disclosures as necessary for Covered Entity to comply with applicable federal and Florida law. 5. REPORTING TIMES 5.1 Business Associate will report a breach of unsecured PHI to Covered Entity without unreasonable delay and in no case later than five (5) calendar days after discovery. To the extent known at the time of the report, Business Associate will identify each individual whose unsecured PHI has been, or is reasonably believed to have been, accessed, acquired, used or disclosed during the breach and will provide any other available information Covered Entity may need to satisfy its notification obligations under 45 C.F.R. §164.404 and other applicable law. Business Associate will provide additional information promptly as it becomes available. 5.2 Business Associate will report any other use or disclosure not permitted by this Agreement, and any Security Incident involving PHI, within twenty-four (24) hours after becoming aware of it. 5.3 Unsuccessful Security Incidents that do not result in unauthorized access, use, disclosure, modification or destruction of PHI — such as routine scans, pings and blocked login attempts — will be reported in the aggregate upon Covered Entity's request rather than individually. 5.4 Business Associate will cooperate fully and promptly with Covered Entity's investigation, mitigation and notification obligations. Business Associate will not notify an individual, regulator or the media about an incident involving Covered Entity's PHI without Covered Entity's prior written agreement, except where applicable law requires Business Associate to do so. 6. WORKFORCE AND SUBCONTRACTORS 6.1 Business Associate will limit PHI access to members of its workforce who need that access to perform authorized services, will train them regarding their obligations and will discipline, remove or restrict access for any person who violates those obligations. 6.2 Each individual marketing representative who accesses PHI will first sign Covered Entity's PHI Access Addendum, in addition to Covered Entity's Confidentiality and Information Security Agreement. 6.3 Except where the individual representative is itself the Business Associate, if an individual representative who will access PHI is not a member of Business Associate's workforce for HIPAA purposes, Business Associate will enter into a Business Associate Agreement with that person when required by HIPAA before that person receives PHI and will provide Covered Entity written confirmation that it has done so. 6.4 Business Associate will notify Covered Entity within twenty-four (24) hours when a representative leaves, changes role or otherwise should no longer have access, so that access can be closed promptly. 7. SECURITY REQUIREMENTS Without limiting Section 4.2, Business Associate will: 7.1 access PHI only through Covered Entity's portal and not copy, export, download, photograph, screenshot or print PHI except where Covered Entity and, if applicable, the Agency have approved it in writing; 7.2 not store PHI in personal email, messaging applications, personal cloud storage or any system not approved by Covered Entity in writing; 7.3 require unique individual credentials, multi-factor authentication where Covered Entity provides it and prohibit shared logins; 7.4 require devices used to access PHI to have a screen lock, current operating-system security updates and full-disk encryption; and 7.5 encrypt PHI in transit and at rest wherever it is stored outside Covered Entity's systems with Covered Entity's prior written approval. 8. CYBER AND PRIVACY LIABILITY INSURANCE This Agreement does not require Business Associate to maintain cyber and privacy liability insurance during its term or after termination. All other obligations remain unchanged, including privacy, security and incident reporting. Covered Entity's rights under Section 12.2 remain unchanged. 9. AUDIT AND LOGGING 9.1 Covered Entity logs disclosures of PHI made through its systems, including the information disclosed, the recipient, the date and the purpose, and may audit those logs. 9.2 Business Associate will cooperate with reasonable audits of its compliance with this Agreement on reasonable notice and during normal business hours, except that Covered Entity may conduct an immediate review where it reasonably believes unauthorized access, use or disclosure of PHI has occurred. 10. FLORIDA LAW Information that forms part of a member's patient record is subject to section 456.057, Florida Statutes. Business Associate will not further disclose information contained in a patient record except as permitted by section 456.057 and other applicable law, and understands that Covered Entity maintains the record of third-party disclosures required by applicable Florida law. To the extent applicable Florida privacy law is more stringent than HIPAA and is not preempted by federal law, Business Associate will comply with that applicable Florida law. 11. OBLIGATIONS OF COVERED ENTITY 11.1 Covered Entity will notify Business Associate of any limitation in its Notice of Privacy Practices, any change in or revocation or expiration of a member's authorization, and any restriction on the use or disclosure of PHI that Covered Entity has agreed to, to the extent any of these affects Business Associate's permitted use or disclosure of PHI. 11.2 Covered Entity will not ask Business Associate to use or disclose PHI in a manner that would not be permitted under Subpart E of 45 C.F.R. Part 164 if done by Covered Entity. 12. TERM AND TERMINATION 12.1 This Agreement takes effect on the Effective Date and continues until terminated and all PHI is returned or destroyed, except where protections continue under Section 12.4. 12.2 Covered Entity may terminate this Agreement immediately, and may suspend PHI access immediately and without prior notice, if Business Associate violates a material term of this Agreement or any condition required for PHI access is no longer satisfied. 12.3 Upon termination, Business Associate will return or destroy all PHI that Business Associate or its subcontractors maintain in any form, retain no copies, and confirm in writing within thirty (30) days that it has done so. 12.4 If return or destruction is not feasible, Business Associate will notify Covered Entity in writing and explain why. Business Associate will extend the protections of this Agreement to the retained PHI and will limit further uses and disclosures to those purposes that make return or destruction infeasible for as long as Business Associate retains that PHI. 13. GENERAL 13.1 Amendment for compliance. The parties will amend this Agreement as necessary for Covered Entity to comply with HIPAA, the HITECH Act and their implementing regulations as they change. 13.2 Interpretation. Any ambiguity in this Agreement will be resolved in favor of a meaning that permits compliance with applicable HIPAA requirements. 13.3 No third-party beneficiaries. Nothing in this Agreement creates rights in any person other than the parties. 13.4 Survival. Sections 4, 5, 7, 8, 9, 10 and 12 survive termination to the extent applicable. Sections 2 and 3 also survive for as long as Business Associate retains any PHI under Section 12.4. 13.5 Conflict. If this Agreement conflicts with the Services Agreement as to the use, disclosure, protection or handling of PHI, this Agreement controls. 13.6 Governing law. Florida law governs, without regard to its conflict-of-laws rules. 13.7 Direct liability. Business Associate understands that it may be directly liable under the HIPAA Rules for provisions of HIPAA that apply directly to business associates, in addition to its contractual obligations under this Agreement. 14.
AMENDMENT NO. 1 TO THE AGENCY MARKETING SERVICES AGREEMENT Effective Date: ____________ Between One Health Group, Inc. d/b/a LuzardoCare ("Company") and ____________________ ("Agency"). Recital. Section 6 of the Agreement provides that the Agency receives only aggregate reports and no individually identifiable member information. The parties wish to permit a member, at that member's own option, to authorize the Company to share limited administrative information about that member with the marketing representative who assists them. 1. SECTION 1.2 IS AMENDED BY ADDING THE FOLLOWING SENTENCE AT THE END: Where Section 6.6 applies, Agency services may also include administrative assistance to an authorized member regarding that member's membership and payment. 2. A NEW SECTION 3.10 IS ADDED: 3.10 Member assistance; no outcome-based compensation. Administrative assistance permitted under Section 6.6 is compensable only when included in an approved Scope of Work. No compensation under this Agreement may be calculated by reference to a recovered payment, a retained member, a renewal, a percentage of fees collected, or the number or status of members. Fees are payable only for approved marketing or administrative activity actually performed, at fixed or hourly rates agreed in advance, regardless of outcome. 3. SECTION 6.2 IS DELETED AND REPLACED WITH: 6.2 The Company does not disclose protected health information to the Agency under this Agreement except as provided in Section 6.6. Except as provided in Section 6.6, the Agency will receive only aggregate reports on the results of its own marketing work that contain no individually identifiable health information — for example, campaign, reporting period and aggregate totals — and those reports will not permit the Agency to identify individual members. 4. SECTION 6.3 IS DELETED AND REPLACED WITH: 6.3 The Agency will not contact members regarding their membership status, payment status or clinical care, except that a marketing representative may contact a member regarding that member's membership and payment where Section 6.6 applies to that member. The Agency may market to prospective members through campaigns approved by the Company; once a person becomes a member, contact comes from the Company except as permitted by this Section. 5. A NEW SECTION 6.6 IS ADDED: 6.6 Member-authorized administrative access. (a) The Company may enable a marketing representative, and the Agency where specifically authorized by the member, to receive the administrative information listed in subsection (b) about an individual member only while all of the following remain in effect: (i) a Business Associate Agreement between Company and Agency meeting the requirements of 45 C.F.R. §164.504(e); (ii) the representative is authorized by Agency to access such information and has signed Company's applicable PHI access, confidentiality and information-security requirements; and, if the representative is a subcontractor of Agency rather than a member of Agency's workforce, Agency has entered into any Business Associate Agreement with that representative required by HIPAA; and (iii) a valid written authorization signed by that member remains in effect and identifies that representative and, where applicable, the Agency. (b) The information is limited to: the member's name, Member ID, telephone number and email address; membership status and start date; whether the membership payment is current, late or failed, and the paid-through date; and the plan and its price. No clinical information is disclosed under this Section. (c) Access ends automatically when the member revokes or the authorization otherwise expires, the member's membership ends, the representative is no longer assigned to that member, the representative ceases to act through the Agency in connection with that member, or any condition in subsection (a) is no longer satisfied, whichever occurs first. (d) The Company maintains a record of disclosures made under this Section, including the information disclosed, the recipient, the date and the purpose. (e) The Agency and its representatives will use information received under this Section only to assist that member with membership and payment, and will not disclose it to any other person except as permitted by applicable law, including section 456.057, Florida Statutes. 6. SECTION 6.5 IS AMENDED by deleting the requirement that Agency satisfy the additional insurance requirement in Section 9. 7. SECTION 9.2 IS DELETED AND REPLACED WITH: 9.2 Cyber and privacy liability insurance is not required under this Agreement. Section 9.1 remains unchanged. 8. EVERYTHING ELSE STAYS. All other terms and conditions of the Agreement remain in full force and effect. ENMIENDA N.º 1 AL ACUERDO DE SERVICIOS DE MERCADEO DE LA AGENCIA Fecha de Vigencia: ____________ Entre One Health Group, Inc. d/b/a LuzardoCare (la "Compañía") y ____________________ (la "Agencia"). Antecedente.
